Terms of Service

1. Acceptance of Terms

By accessing or using HetGuard ("Service"), operated by HetGuard ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We will notify you of material changes by email or via an in-app notice.

2. Description of Service

HetGuard is a cloud-based service that automates snapshot scheduling, retention, and monitoring for servers hosted on Hetzner Cloud. The Service connects to your Hetzner Cloud account via API token and acts on your behalf to create and delete snapshots according to schedules you define.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and Registration

To use the Service you must create an account. You agree to:

• Provide accurate and complete registration information.
• Keep your password secure and not share it with anyone.
• Notify us immediately at hello@hetguard.com if you suspect unauthorised access to your account.
• Be responsible for all activity that occurs under your account.

You must be at least 18 years old to create an account. Accounts may not be transferred to another person without our written consent.

4. Hetzner API Credentials

The Service requires a Hetzner Cloud API token with read and write permissions. By providing your API token you authorise HetGuard to perform snapshot operations on your behalf within Hetzner Cloud. You are responsible for:

• Ensuring the API token you provide is valid and has the necessary permissions.
• Revoking and rotating API tokens if you believe they have been compromised.
• Any costs incurred on your Hetzner account as a result of snapshot operations initiated by HetGuard.

HetGuard only creates and deletes snapshots that it created. We will not modify, delete, or interact with snapshots, servers, or other resources outside the scope of the Service.

5. Plans, Billing, and Payment

HetGuard offers a free tier and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe.

• Free plan: Available indefinitely at no charge, subject to the limits described on our pricing page.
• Paid plans: Your subscription renews automatically at the end of each billing period unless cancelled.
• Upgrades: Upgrading takes effect immediately and you will be charged a prorated amount for the remainder of the current billing period.
• Downgrades: Downgrades take effect at the end of the current billing period.
• Cancellation: You may cancel at any time. Access continues until the end of the paid period; no partial refunds are issued.

All prices are in US dollars. We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Attempt to gain unauthorised access to the Service or any related systems.
• Resell or sublicense access to the Service without our written consent.
• Use the Service in a way that could damage, disable, or impair it.

We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these Terms.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the practices described in that policy.

You retain ownership of all data associated with your account. We do not sell your data to third parties.

8. Service Availability and Backups

We aim for high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, outages, or events beyond our reasonable control may cause temporary unavailability.

Important: HetGuard is a tool to automate your Hetzner snapshot workflow. It is not a substitute for a comprehensive backup and disaster recovery strategy. You are solely responsible for verifying that snapshots have been created as expected and for restoring your servers in the event of data loss. We strongly recommend independently monitoring your Hetzner snapshot inventory.

9. Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by HetGuard and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited right to use the Service as described herein.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, HetGuard and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profits, or business interruption — arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless HetGuard and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate the agreement at any time. Upon termination:

• Your access to the Service will cease immediately (or at the end of your paid period for voluntary cancellations).
• We will retain your account data for 30 days, after which it will be permanently deleted.
• Snapshots already created in your Hetzner account will not be affected — they remain under your control in Hetzner Cloud.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through binding arbitration or, where arbitration is not available, in the courts of competent jurisdiction.
